The present Terms and Conditions of Service (hereinafter referred to as Regulations) shall apply to all present and future business relations connecting GEMINI BTJ, represented by Mark Szlachta, with contractors (hereinafter referred to as Clients) within the scope of GEMINI BTJ activities.
The Terms and Conditions are addressed to all Users and Clients who use the GEMINI BTJ, DŻEMINAJ and GEMBOOK websites.
With regard to services provided electronically, this document is the Regulations referred to in Article 8 of the Act of July 18, 2002 on providing services electronically (Journal of Laws of 2002, No. 144, item 1204, as amended).
The provider and operator of the GEMINI, DŻEMINAJ and GEMBOOK services is Gemini Language Translation Bureau Marek Szlachta located at: ul. Szwajcarska 3/20, 20-861 Lublin, Poland, tel. +48 607 062 862, entered in the Business Activity Register of the Department of Administrative Affairs of the Municipal Office in Lublin under number 31434 and having NIP number 946-177-84-75 and REGON number 430 468 960.
It is forbidden for the User and the Client to use the GEMINI, DŻEMINAJ and GEMBOOK services in a manner contrary to the law, good morals or violating the legitimate interests of GEMINI BTJ. In particular, the Client and the User shall not take actions that could expose GEMINI BTJ to any property or image damage.
All information contained and displayed through GEMINI, DŻEMINAJ and GEMBOOK services relating to services, including their prices, does not constitute a commercial offer within the meaning of Article 66 of the Civil Code, but an invitation to conclude a contract as defined in Article 71 of the Civil Code.
The object of providing services by GEMINI BTJ is the performance of ordinary and specialized non-certified (non-certified) written translations, and in addition, proofreading and editing of written texts, printing work (DTP) necessary for translation, proofreading and editing, as well as anti-plagiarism verification of texts.
The Polish version of these Regulations is the only legally sanctioned version and only this one may constitute the basis for the activities of GEMINI BTJ or the basis for explaining and resolving disputes between GEMINI BTJ and Clients. Other language versions of the Regulations constitute only a view of the essence of GEMINI BTJ's activities and cannot be considered binding in any matter.
§ 2. Terms and Definitions
GEMINI BTJ - the provider of the services listed in these Terms and Conditions and the operator of the GEMINI, DŻEMINAJ and GEMBOOK websites.
Client - recipient of services offered by GEMINI BTJ.
Order - an instruction to perform a service by GEMINI BTJ in exchange for financial compensation from the Client.
Invoice - a document of sale of a service containing details of the transaction, issued by GEMINI BTJ to the Client.
Electronic payment - a non-cash transaction conducted over the Internet using any electronic device. In GEMINI BTJ, the Client can make electronic payments through the Przelewy24 system.
Source text (source language) - the text to be translated, corrected or verified.
Target text (target language) - the result of the correction, verification or translation process into the target language.
Regular translation - the translation of information from one language into another, not requiring the involvement of specialized knowledge in a particular field.
Specialized translation - the translation from one language into another of information, the understanding and translation of which require specialized knowledge of a particular field.
Uncertified (unsworn) translation - translation of information from one language into another without certification of conformity to the original in the form of a sworn translator's name stamp. Uncertified translations usually cannot be submitted to authorities of state institutions.
Native speaker translation - in addition to the standard translation from one language to another, includes text editing, i.e. extended proofreading, i.e. thorough checking of both typographical, lexical, stylistic, as well as most factual errors; there is the possibility of style guides required by some Editorial Boards; performed by native speakers of the target language.
Basic proofreading - provides only checking of typos, double spaces, grammatical forms of words and syntax of sentences.
Native speaker proofreading - provides a thorough check for technical defects in the text (typos, double spaces, etc.), grammar, punctuation and spelling; also improves readability, clarity, conciseness and choice of vocabulary where appropriate; performed by native speakers of the target language from birth.
Native speaker editing - provides a comprehensive, content-focused review; makes logical and factual corrections; includes proofreading, but also includes basic fact-checking, rewriting passages for clarity and conciseness, editing, and changing the style of the text; performed by native speakers of the target language.
Linguistic quality assessment (LQA) - an estimate of the correctness of the target text in terms of accuracy, consistency, vocabulary, grammar, punctuation and localization, expressed by a number from 0-10.
Anti-plagiarism verification - comparing the content with the widest possible set of published texts posted on the Internet, in addition to checking for the existence of typical text patterns generated by artificial intelligence (AI); similarity to already existing texts is expressed as a percentage.
Printing services (DTP) - the preparation of a document for publication in electronic form, such as converting files, editing graphics, positioning graphic and textual elements on the publication page, etc.
§ 3. Technical Parameters
In order to use GEMINI, DŻEMINAJ and GEMBOOK services, it is sufficient to have an electronic device with an installed browser capable of displaying web pages. The browser should have installed and properly functioning scripting software, in particular PHP and JavaScript.
The basis for financial settlements between the Client and GEMINI BTJ is the number of words of the text to be translated, proofread or edited (source). This number is read from the Word Statistics in MS Word. At the Client's request, the basis of billing may be a billing page or a publishing sheet with the exception that GEMINI BTJ will use the following conversion rates: 1 billing page = 250 words = 1,800 characters with spaces and 1 publishing sheet = 5555.55 words = 40,000 characters with spaces. In doing so, prices and order value are converted to 1 word.
Text for translation, proofreading or editing (source) should be provided in the form of a file in the format of popular word processors (DOC, DOCX, TXT, RTF, etc.) or other previously agreed format (e.g. PDF, PPT, JPG) and the same form has the target text.
Only the actual translated, corrected or edited portions of the text are included in the billing. Graphics may be subject to DTP service after acceptance by the Client, however, DTP service cannot be an independent order in GEMINI BTJ - it is only an additional service to the translation, proofreading or editing performed.
Languages constituting the basis of GEMINI BTJ's translation offer are divided into the following groups:
Group A - English;
Group B - Croatian, Czech, Slovak, Slovenian;
Group C - Aragonese, Catalan, Dutch, Flemish, French, Galician, German, Italian, Portuguese, Spanish;
Group D - Bosnian, Bulgarian, Byelorussian, Macedonian, Montenegrin, Russian, Serbian, Ukrainian;
Group E - Danish, Icelandic, Latvian, Lithuanian, Norwegian, Romanian, Swedish;
Group F - Albanian, Estonian, Finnish, Greek, Hungarian, Irish, Turkish;
GEMINI BTJ provides the following translation services:
simple translation of written text from the source language into the target language;
translation of written text from the source language into the target language performed by a native speaker;
basic proofreading of a text;
proofreading of text performed by native speaker;
editing of text performed by native speaker;
anti-plagiarism verification of the text;
printing services (DTP).
Prices for individual services are presented in the Prices tab of the GEMINI BTJ service, but the binding value expressed in Polish zlotys takes into account the volume of a given source text and is provided to the Client only after he places the order.
The prices in the Price List, in the order confirmation and on the invoice to the Client may be expressed in a currency other than Polish zlotys, whereby a conversion factor equal to the current exchange rate for the currency in question shall be applied.
The Client has the opportunity to receive a discount of up to 10% for ordering services at GEMINI BTJ. Such an opportunity arises for a service following an order in which the sum of 12 500 words in a given calendar year has been exceeded. If such condition is met, the Client may report this fact in an e-mail addressed to GEMINI BTJ.
All prices presented in these Terms and Conditions are gross prices, i.e. no additions are added to them.
The value of an order is determined by multiplying the number of source text units by the price per billing unit and rounding the result to two decimal places.
The rounding of the value of an order is done according to PN-70/N-02120: Principles of rounding and notation of numbers.
GEMINI BTJ does not apply a minimum fee for services performed.
§ 4. Ordering of Services
Before submitting a text for translation, proofreading or editing, the Client is entitled to a free, indicative quote, which is received directly from GEMINI BTJ via e-mail. The quote for the order is approximate, does not constitute a commercial offer for the Client, and its execution does not oblige the Client to submit a binding order for translation, proofreading, editing or verification.
Principally, the Client's instruction to GEMINI BTJ to perform translation, proofreading, editing or anti-plagiarism verification of the text and possibly DTP services does not require a written form of order, although GEMINI BTJ may, in certain cases, require a written order and/or a pre-agreed deposit before proceeding with the work.
The client provides the text for translation, proofreading or editing via email, the form provided on the GEMINI BTJ website, in person, or any other pre-agreed form.
Delivery of the source text to GEMINI BTJ is tantamount to the Client's ordering of translation, proofreading, editing or anti-plagiarism verification services and the Client's acceptance of the terms and conditions of the agreement contained in these Terms and Conditions.
The Client, in the course of using services at GEMINI BTJ, is prohibited from providing content of an unlawful nature.
The speed of performance of the service shall be determined prior to commitment, although it should not exceed 3 000 words / day or 12 billing pages / day or 0.54 publishing sheet / day.
The term of service is calculated starting from the day following the receipt of the source text by GEMINI BTJ.
Saturdays, Sundays and public holidays are included in the order completion time.
GEMINI BTJ does not apply express services and pricing, or allowances for specialized text or for publication.
Translated, corrected, edited or revised text, GEMINI BTJ shall forward to the Client in the format and by such means as the order was delivered to GEMINI BTJ or in a previously agreed manner.
With each final text, GEMINI BTJ shall include a certificate stating that the work was performed by GEMINI BTJ or by a native speaker, if the Client has ordered such a service. However, no personal data of native speakers may be published without their written consent, due to the provisions of the RODO law.
After completion of a translation, proofreading or editing order, GEMINI BTJ performs a basic assessment of the text for plagiarism, presenting the percentage of compatibility with existing texts and the number of sources where similar passages were found.
GEMINI BTJ reserves the right to refuse to accept an order if it finds it impossible to complete it within the deadline indicated by the Client, or without giving reasons.
The Client has the right to withdraw from the contract for ordering services from GEMINI BTJ, but only up to and including the date of expected completion of work on the text, sent to the Client in the confirmation of order placement. However, in such a case, the Client is obliged to pay the remuneration for the work actually performed up to that point.
The Client has the right to complain about the translation, proofreading or editing of the text within a maximum of 7 days from the date of its receipt. The complaint should be communicated to GEMINI BTJ by e-mail or in writing and clearly indicate the places in the translation text to which the Client or the text reviewer has objections.
In case of justified complaints, GEMINI BTJ undertakes to correct the errors as soon as possible and/or to give an appropriate discount.
The amount of compensation for any damages incurred in connection with the performance of the service by GEMINI BTJ shall be limited to the amount of net remuneration (excluding VAT) due to GEMINI BTJ for the performance of this service.
§ 5. Liabilities
For the purpose of order execution, confidential information shall be understood as information including: personal and financial data of the Client, personal and financial data of subcontractors, as well as any materials provided by the Client to GEMINI BTJ, in particular texts constituting the essence of the service and auxiliary texts.
GEMINI BTJ shall not in any manner or form disclose confidential information to third parties (subject to § 5 item 3) and shall not use confidential information for purposes other than the execution of the order.
GEMINI BTJ shall make available to subcontractors only confidential information that is the essence of the order (i.e. texts for translation, proofreading or editing).
GEMINI BTJ undertakes to keep confidential information confidential indefinitely.
The Client undertakes to notify GEMINI BTJ immediately if there is a breach of an obligation under these Terms and Conditions by GEMINI BTJ or a third party.
In case of disclosure of confidential information, except for disclosure of such information based on the Client's consent, GEMINI BTJ undertakes to pay a contractual penalty in the amount to be determined by agreement between the Client and GEMINI BTJ.
The Client shall be responsible for and warrant that the translation, correction, or editing of the source text, and in particular its publication, reproduction, distribution, or sale, does not violate the rights of third parties, in particular copyrights, trademarks, patents.
Inconsistencies, errors, ambiguities and inconsistencies in the source text may adversely affect the target text. The Client acknowledges that the quality of the translation text (target text) remains strictly dependent on the original text (source text). GEMINI BTJ accepts no responsibility for defects in the translated text resulting from defects in the text submitted for translation.
For proofreading and/or editing of the text, it is required that the Client send both language versions of the source text in order to minimize any linguistic inaccuracies. In the event of a large accumulation of errors in the text to be proofread and/or edited, GEMINI BTJ may refuse to provide proofreading and/or editing services, offering to translate the source text instead.
All property copyrights to the translation, the Client acquires when the payment is made, that is, when the amount of the invoice is transferred to the account of GEMINI BTJ, or when the payment is made in another, previously agreed form.
GEMINI BTJ shall not be liable for delays caused by force majeure, in particular, disruptions of telecommunication lines, server failure, or power outages.
§ 6. Payment
The basis for settlement between the Client and GEMINI BTJ for the completed order is a non-VAT invoice issued and sent electronically or by traditional means, or information about the bank account number for the transfer of the requested amount, or a link referring to the Przelewy24 system.
Client may transfer the requested amount through the Przelewy24 system, the link to which appears in his/her Client Panel in the Payments tab when GEMINI BTJ generates the transfer order. This link disappears when the transaction is confirmed in the Przelewy24 system.
The deadline for payment (payment execution) is determined by the rules of the Act of June 12, 2003 on payment terms in commercial transactions, nevertheless, GEMINI BTJ generally adopts a deadline of 14 calendar days for the execution of invoices and transfers through the Przelewy24 system.
Client may pre-pay for future orders in GEMINI BTJ, in any amount and by any previously agreed method.
Any excess amounts occurring in the Client Panel are automatically reset to zero if two situations occur simultaneously: (1) after the expiration of 5 years from the date of the last invoice issued to the Client by GEMINI BTJ, and (2) no orders of the Client in the last 3 years.
§ 7. Privacy Policy
This Privacy Policy is based on Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (RODO).
GEMINI BTJ operates a Client Panel system related to the acquisition, storage and processing of Clients' personal data.
GEMINI BTJ collects the following personal data about Clients:
First name;
Last name;
Academic title;
E-mail address;
Name of the company;
Name of sub-unit of the company (if any);
Address of the company;
NIP of the company;
Mobile (private) phone number.
Personal data (a-h) is obtained from publicly available websites of companies employing the Client.
Private cell phone number (i) is obtained from the Client voluntarily (optional) and is not necessary for any commercial operation.
The Client Panel presents personal data about the Client, in addition to financial data resulting exclusively from transactions between the Client and GEMINI BTJ.
GEMINI BTJ guarantees that both personal data and financial data are presented only to the person to whom such data pertains. To this end, each person, upon becoming a GEMINI BTJ Client, obtains a unique Client Code for logging into their Client Panel.
Financial and personal data (a-h) are necessary for the proper invoicing of the Client's employing unit. Without them, legal completion of transactions is not possible. Thanks to this data, the Client has the opportunity to receive information from GEMINI BTJ by e-mail, and can track the status of his current and archived orders and payments.
GEMINI BTJ does not use profiling of Clients' personal data.
In order to process personal data, a one-time consent of the Client expressed by approval at the time of logging into his/her own Client Panel is required.
As a controller, GEMINI BTJ guarantees that the processing of personal data does not violate the rights and freedoms of the data subject.
Personal data of GEMINI BTJ service users will be stored for a period of 15 years.
Data on translators are collected on the basis of a completed form and are not stored in any way. They are only necessary in the recruitment process for review by GEMINI BTJ.
Each data subject has the right to access his/her personal data, rectification, erasure or restriction of processing, the right to object and the right to lodge a complaint with a supervisory authority.
The administrator of the Client's data is GEMINI Language Translation Bureau Marek Szlachta, with registered office: 3/20 Szwajcarska Street, 20-861 Lublin, e-mail: gemini@gemini-btj.eu, tel. +48 607 062 862.
The entity processing the personal data of GEMINI BTJ Clients is PROCIV Sp. z o.o. with its registered office at Czerniawska 2A/27, 50-576 Wrocław.
The processing entity ensures the security of Clients' data by selecting appropriate personnel with access control and secure SSL communication encryption protocol.
§ 8. Cookies Policy
According to Article 173 of the amended Telecommunications Law, coming into force on March 22, 2013, owners of websites are obliged to obtain from Users their consent to the storage and use of cookies. Such consent can be implemented through the appropriate settings of the web browser, or the application on the Client's mobile device.
The GEMINI BTJ website automatically collects information contained in cookies.
Cookies are IT data, in particular text files, which are stored in the Service User's terminal device and are intended for use on the GEMINI BTJ website. Cookies usually contain the name of the website from which they originate, the time they are stored on the end device and a unique number.
The entity placing cookies on the end device of the User of the GEMINI BTJ Website and accessing them is the operator PROCIV Sp. z o.o. with its registered office at Czerniawska 2A/27, 50-576 Wrocław.
The cookies files are used for the following purposes:
adapt the content of the GEMINI BTJ Website to the User's preferences and optimize the use of the websites; in particular, these files allow for the recognition of the device of the User of the GEMINI BTJ Website and appropriate display of the website, adapted to his/her individual needs;
creation of anonymous visit statistics that help to understand how GEMINI BTJ Website Users use the websites, which allows to improve their structure and content;
handling forms in order to protect the GEMINI BTJ Website from the operation of computer programs designed to automatically examine the content of the GEMINI BTJ Website.
The GEMINI BTJ Website uses the following basic types of cookies - session cookies (session cookies), persistent cookies (persistent cookies), performance cookies (performance cookies) and functional cookies (functional cookies):
session cookies are temporary files that are stored on the User's final device until the User logs out, leaves the website or shuts down the software (web browser);
permanent cookies are stored on the User's end device for the time specified in the parameters of the cookies or until they are deleted by the User;
performance cookies, enabling the collection of information about the use of the Website's pages;
functional cookies, enabling remembering the User's selected settings and personalizing the User's interface, e.g. with respect to the selected language or region of origin of the User, font size, website design, etc.
In many cases, web browsing software (web browser) allows cookies to be stored on the User's terminal device by default. Users of the GEMINI BTJ Website may change their settings regarding cookies at any time. These settings can be changed, in particular, in such a way as to block the automatic handling of cookies files in the settings of the web browser or inform about their each time they are placed on the device of the User of the GEMINI BTJ Website. If a User of GEMINI BTJ Website does not want to receive cookies, he/she can change his/her browser settings. However, disabling the handling of cookies necessary for the Service User's preferences will make it more difficult to use GEMINI BTJ websites, and in extreme cases may prevent the use of other websites. Detailed information about the possibility and methods of handling cookies is available in the settings of individual web browsers or operating systems:

§ 9. Copyrights
GEMINI BTJ operates a basic service at gemini-btj.eu (GEMINI), a language blog at dzeminaj.eu (DŻEMINAJ), and an information medium at gembook.eu (GEMBOOK).
All property rights related to the GEMINI BTJ, DŻEMINAJ and GEMBOOK websites belong to Mark Szlachta as author, contractor and user. This applies to the graphic design of the sites, their elements, as well as the code that allows the service to be presented on the Internet.
No part of the publication (content such as text, graphics, logos, icons, images, photos, audio files, video files, data files, presentations, programs, page scripts and any other data) presented on the GEMINI BTJ portal and other GEMINI BTJ-dependent web addresses, may be reproduced or distributed in any form or manner without prior permission.
All trademarks, graphic marks, proprietary names, logos and other data are protected by copyright and belong to their respective owners.
Systematic retrieval of content, data or information from these websites (web scraping), as well as text and data mining (TDM) (including retrieval and exploratory data analysis, web indexing, use of content or search with database retrieval), whether by robots, web crawlers, software, tools or any manual or automated method, for the purpose of creating or developing software, including but not limited to. including, but not limited to, the training of machine learning or artificial intelligence (AI) systems, without the express prior consent of GEMINI BTJ is prohibited. Exceptions are made when content, data or information is used to facilitate its retrieval by search engines.
§ 10. Final Provisions
GEMINI BTJ reserves the right to change these Regulations. Information about changes will be announced on the gemini-btj.eu website.
In matters not covered by these Terms and Conditions, the relevant provisions of Polish law shall apply.
